ACCEPTANCE OF TERMS AND CONDITIONS

Welcome to Reporting-Ethics.com presented to you by Reporting-Ethics, Inc. It consists of a collection of online resources, including ads, forums, and various e-mails. This Service (“Service”) is subject to the following Terms of Use (“Agreement”). This Agreement may be updated at anytime without notice. Your use of and/or registration on any aspect of the Service will constitute your agreement to comply with these rules.

Your failure to follow those rules, may result in the suspension or termination of your access to the Service, without notice, in addition to the Service Provider other remedies.

You may use the Reporting-Ethics.com Web site, contents and servers running on networks (“Service”) operated by Reporting-Ethics, Inc. for the purpose of accessing the information (“Information”) which are available, and according to strict complains to the Terms and Conditions of Use.

MODIFICATIONS TO THIS AGREEMENT

We reserve the right, to change, modify to otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. COMMENTS BY USERS ARE NOT ENDORSED BY SERVICE PROVIDER:

Service Provider does not necessarily endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted on bulletin boards, forums or otherwise contained in the Service. Nor does Service Provider or its third party service providers make any warranties with respect to any of the merchandise featured or mentioned on the Service.

USER OF THE SERVICE BY YOU:

This Service is personal to you. You may not authorize others to use the Service, and you are responsible for all use of the Service by you and by those you allow to use, or provide access to, the service.

 In accordance with the Children's Online Privacy Protection Act(CORPA) when a visitor under the age of 13, files any information online, no personal identity information is collected in conjunction with the submission. Any of this information will not knowingly be used, posted or retained by us. Eliminating these visitors from participating in any forums and chat rooms.

 You agree not to disrupt, modify or interfere with the Service of its associated software, hardware and/or services in a way, and you agree not to impede or interfere with others’ use of the Service. You further agree not to alter or tamper with any information or materials on or associated with the Service.

 Other than connecting to Service Provider’s servers by http: requests using a Web browser, you may not attempt to gain access to Service Provider’s servers by any means – including, without limitation, by using administrator passwords or by masquerading as an administrator while using the Service or otherwise.

 You acknowledge that Service Provider has not reviewed and does not endorse the content of all sites linked to from the Service and is not responsible for the content or actions of any other sites linked to from this Service. Your linking to any service or site is at your sole risk.

COPYRIGHT COMPLAINTS

Service Provider respects the intellectual property of others, and we ask our users to do the same. Service Provider may, in appropriate circumstances and at its discretion, suspend or terminate the access of and take other action against users, subscribers, registrants and account holders who infringe the copyright rights of others.

NOTIFICATION OF CLAIMS OF INFRINGEMENT

a) Identify the material on the Reporting-Ethics site that you claim is infringing with enough detail so that we may locate it on the Web site;
b) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

NO SPAM POLICY

You understand and agree that sending unsolicited email advertisements to Reporting-Ethics email addresses or through Reporting-Ethics computer systems, which is expressly prohibited by this Agreement. Any unauthorized use of Reporting-Ethics computer systems is a violation of this Agreement and certain federal and state laws, including without limitation the Computer Fraud and Abuse Act. Such violations may subject the sender and his or her agents to civil and criminal penalties.

LIMITATIONS ON SERVICE

You agree that Reporting-Ethics has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that Reporting-Ethics reserves the right at any time to modify or discontinue the Service (or any part there of) with or without notice, and that Reporting-Ethics shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

ACCESS TO THE SERVICE

Reporting-Ethics grants you a limited, revocable, nonexclusive license to access the Service for your own personal use. This license does not include any collection, aggregation, copying, duplication, display or derivative use of the Service nor any use of data mining, robots, spiders, or similar data gathering and extraction tools for any purpose unless expressly permitted by Reporting-Ethics.

Use of the Service beyond the scope of authorized access granted to you by Reporting-Ethics immediately terminates said permission or license. In order to collect, aggregate, copy, delicate, display or make derivative use of the Service or any Content made available via the Service for other purposes (including commercial purposes) not stated herein, you must first obtain a license from Reporting-Ethics.

TERMINATION OF SERVICE

You agree that Reporting-Ethics, in its sole discretion, has the right (but not the obligation) to delete or deactivate a your account, block you email or OP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reasons, including, without limitation, if Reporting-Ethics believes that you have acted inconsistently with the letter or spirit of the Agreement. Further, you agree that Reporting-Ethics shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination.

DISCLAIMER OF WARRANTIES, TERMS AND LIABILITY
THE INFORMATION (“INFORMATION”) MADE AVAILABLE AT THE REPORTING-ETHICS WEB SITE ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW. REPORTING- ETHICS DISCLAIMS ANY WARRENTIES FOR THE SECURITY, FLEXABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE REPORTING-ETHICS SITE AND THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, REPORTING-ETHICS DISCLAIMS ANY WANRRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE REPORTING-ETHICS SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, REPORTING-ETHICS DISCLAIMS ANY WARRANTIES FOR VIRUSES OR OTHER HARMFUL COMPONENTS IN CONNECTION WITH THE REPORTING-ETHICS SITE OR THE SERVICE. Some jurisdictions do not allow the disclaimer of implied warranties, in such jurisdictions, some of the forgoing disclaimers may not apply to you insofar as they relate to implied warranties.

Reporting-Ethics shall not have liability for:

1) Any loss of injury caused, in whole or in part, by its actions, omissions or negligence, or for contingencies beyond it control, in procuring, compiling and delivering the information;
2) Any errors, omissions, or inaccuracies in the information regardless of how caused, and delays or interruption in delivery of the information; or
3) Any decision made or action taken or not take in reliance upon the information furnished hare under.

LIMITATIONS OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL REPORTING-ETHICS BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF REPORTING-ETHICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE REPORTING-ETHICS SITE OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OR THE REPORTING-ETHICS OR THE SERVICE, FROM INABILITY TO USE THE REPORTING-ETHICS SITE OR SERVICE, OR THE INTERRUPTION, SUSPENSION, MODICICATION, ALTERATION, OR THE TERMINATION OF THE REPORTING-ETHICS SITE OR THE SERVICE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE REPORTING-ETHIS SITE, AS WELL AS BY REASON OF ANY INFOMRATION OR ADVISE REVEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE REPORTING-ETHICS SITE OR THE SERVICE OR ANY LINKS ON THE REPORTING-ETHICS SITE. THESE LIMITATIOSN SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations or liability are not permitted. In such jurisdictions, some of the foregoing limitation may not apply to you.

INDEMNIFICATION:

You agree to indemnity and hold Reporting-Ethics, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any and all claims or demands, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through the Service, your use of the Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another.

TERMINATION OF ACCESS TO THE SERVICE

Service Provider has the right to terminate your ability to access the Service for any or no reason, without notice.
